Acceptance of terms
These Terms & Conditions ("Terms") govern your access to and use of the Silquetech website, our client portal, and any services we provide (together, the "Services"). By visiting this site, creating an account, submitting a project brief, booking a call, or engaging us for work, you agree to these Terms. If you do not agree, please do not use the Services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.
Where we have signed a separate written agreement, proposal, statement of work, or contract with you, that document controls if it conflicts with these Terms.
Who we are
Silquetech Ltd is an e-commerce and web solutions studio. We design, build, and maintain online stores, websites, and web applications. Our registered office is 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom, and we operate additional offices in Karachi, Sheridan (Wyoming, US), and Ajman (UAE). Our US and UAE operations run in partnership with Ample Solutions LLC.
How we handle your personal information is described in our Privacy Policy, which forms part of these Terms.
Our services
We provide design, engineering, e-commerce, and related digital services. The specific scope, deliverables, timeline, revision allowance, and price for any engagement are set out in the proposal, statement of work, or contract we agree with you. Anything not expressly included in that document is out of scope.
We may modify, suspend, or discontinue any part of the website or portal at any time. We will give reasonable notice before discontinuing a feature you actively rely on under an active engagement.
Accounts
- You must provide accurate, current information when creating an account and keep it up to date.
- You are responsible for keeping your password and any two-factor authentication credentials confidential, and for all activity that occurs under your account.
- Notify us immediately at hello@silquetech.com if you believe your account has been compromised.
- Accounts are for the named individual or organisation. Do not share credentials with people outside your organisation.
- You must be at least 16 years old, or the age of majority in your jurisdiction, to hold an account.
Permitted use
You may use the Services for lawful business purposes. You agree not to:
- Use the Services in violation of any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Services, other accounts, or our infrastructure.
- Probe, scan, or test the vulnerability of our systems except under a responsible-disclosure process (email security@silquetech.com).
- Interfere with or disrupt the Services, including by overloading, flooding, spamming, or sending automated queries at abusive rates.
- Scrape, harvest, or systematically extract data from the site without our written permission.
- Reverse engineer, decompile, or attempt to derive source code from any part of the Services except to the extent that restriction is prohibited by law.
- Upload malware, or content that is unlawful, infringing, defamatory, or that you do not have the right to share.
- Download, copy, redistribute, or circumvent access controls on any gated content we share with you, including video recordings delivered through the portal.
- Use the Services to send unsolicited commercial messages or to impersonate any person or entity.
We may suspend or terminate access for any account that breaches this section, with or without notice depending on the severity.
SMS Terms
By providing your phone number to Silquetech and opting in, you consent to receive text messages from us. These messages may include one-time passcodes (OTPs), customer care messages, and service notifications relating to your account, projects, appointments, and invoices.
- Message frequency — message frequency varies based on your account activity.
- Cost — message and data rates may apply.
- Cancel — reply STOP to any message to cancel. After you reply STOP, we will send one confirmation message and then stop sending you texts.
- Help — reply HELP for help, or contact us at hello@silquetech.com.
- Not a condition of purchase — consent to receive SMS messages is not a condition of any purchase.
- Carrier liability — carriers are not liable for delayed or undelivered messages.
- Supported carriers — delivery depends on your mobile carrier and is not guaranteed in all regions.
You are responsible for notifying us if your phone number changes or if you no longer control a number you gave us. Our handling of mobile information, including the fact that it is never shared with third parties or affiliates for marketing or promotional purposes, is described in the SMS/Text Messaging section of our Privacy Policy.
Fees & payment
- Fees, deposits, milestones, and billing cadence are set out in the proposal, statement of work, or invoice we issue.
- Invoices are payable by the due date shown on the invoice. Card payments are processed by Stripe; bank transfers are handled separately.
- Where you enrol in a recurring or retainer arrangement, you authorise us to charge your saved payment method on the agreed cycle until you cancel.
- We may pause work on an engagement where an invoice is materially overdue. We will notify you before doing so.
- Unless stated otherwise, fees are exclusive of VAT, sales tax, and other applicable taxes, which are your responsibility.
- Refunds, where applicable, are governed by the engagement document. Work already performed is not refundable.
Intellectual property
Our materials
The Silquetech name, logo, website, written content, designs, code, and all other materials we publish are owned by Silquetech Ltd or our licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers ownership of those materials to you.
Client deliverables
On full payment of all fees due for an engagement, you receive ownership of, or a licence to, the final deliverables produced specifically for you — as set out in the relevant proposal or contract. We retain ownership of our pre-existing tools, frameworks, libraries, and know-how used to produce those deliverables, and grant you a perpetual, non-exclusive licence to use them as embedded in the deliverables.
Your materials
You retain ownership of the content, brand assets, and data you provide to us. You grant us a limited licence to use them for the purpose of delivering the engagement. You confirm you have the rights to everything you send us.
Portfolio
Unless you tell us otherwise in writing, we may reference the engagement and display non-confidential work in our portfolio and case studies.
Third-party services
The Services rely on third-party providers including Stripe (payments), Hostinger (email delivery), Google (AI assistant), and SMS aggregators and mobile carriers (text messaging). Your use of those services may be subject to their own terms. We are not responsible for the availability, accuracy, or conduct of third-party services, and links from our site to external sites are provided for convenience only.
Disclaimer of warranties
The website and portal are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure against every possible attack, or that any specific commercial result will be achieved.
Services delivered under a signed engagement are performed with reasonable skill and care in accordance with that agreement. Nothing here limits any warranty expressly given in that agreement.
Limitation of liability
To the fullest extent permitted by law, Silquetech Ltd, its directors, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the Services — whether based in contract, tort, negligence, strict liability, or otherwise, and whether or not we were advised such damages were possible.
Our total aggregate liability arising out of or relating to these Terms or the Services is limited to the greater of (a) the total fees you paid us in the twelve months preceding the event giving rise to the claim, or (b) GBP 100.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
Indemnity
You agree to indemnify and hold harmless Silquetech Ltd against claims, damages, losses, and reasonable legal costs arising from your breach of these Terms, your misuse of the Services, or your infringement of a third party's rights through content or materials you provided to us.
Termination
You may stop using the Services and close your account at any time by emailing hello@silquetech.com. We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if your account is used in a way that risks harm to us or to other users.
Termination of an active engagement is governed by the notice and payment terms in the relevant contract. Sections covering intellectual property, fees already due, disclaimers, limitation of liability, indemnity, and governing law survive termination.
Governing law
These Terms and any dispute arising out of them or the Services are governed by the laws of England and Wales, without regard to conflict of law rules. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any competent jurisdiction to protect our intellectual property.
If you are a consumer resident elsewhere, you keep the benefit of any mandatory protections of the law of your country of residence.
If any provision of these Terms is held unenforceable, the rest remain in full force. Our failure to enforce a provision is not a waiver of it.
Changes to these terms
We may update these Terms as our services change. The "last updated" date at the top reflects the most recent revision. For material changes we will notify account holders by email and post a notice on this page. Continuing to use the Services after a change takes effect means you accept the revised Terms.
