1. Agreement to Terms

By accessing or using silquetech's services, website, or any related platforms (collectively, the 'Services'), you agree to be bound by these Terms of Service ('Terms'). If you disagree with any part of these terms, you may not access or use our Services.

These Terms apply to all visitors, users, clients, and others who access or use the Services. We reserve the right to update, change, or replace any part of these Terms by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes.

2. Services Provided

silquetech provides a comprehensive range of technology services including but not limited to:

Development Services

  • Web application development using modern frameworks (Next.js, React, etc.)
  • Mobile application development for iOS and Android platforms
  • Custom software solutions tailored to business needs
  • API development and integration services
  • Cloud infrastructure setup and management

Design Services

  • UI/UX design and user experience optimization
  • Brand identity and visual design
  • Responsive web design
  • Design system creation and implementation
  • User research and usability testing

Marketing & Strategy Services

  • Digital marketing campaigns and strategy
  • SEO optimization and content marketing
  • Social media marketing and management
  • Email marketing automation
  • Analytics and performance tracking

3. Service Engagement & Scope

All services are provided based on a mutually agreed scope of work, which will be outlined in a separate project proposal or statement of work (SOW). The SOW will detail:

Project Deliverables

  • Specific features, functionalities, or outputs to be delivered
  • Timeline and milestone schedule
  • Acceptance criteria for each deliverable
  • Number of revision rounds included

Client Responsibilities

  • Timely provision of necessary information, assets, and access
  • Prompt feedback and approvals at designated milestones
  • Assignment of a primary point of contact
  • Payment according to agreed schedule
  • Compliance with third-party platform requirements

4. Payment Terms

All financial arrangements are subject to the following terms:

Payment Structure

  • Fixed-price projects: Payment as per milestone schedule outlined in SOW
  • Time & Material projects: Monthly billing based on actual hours worked
  • Retainer agreements: Monthly advance payment for allocated hours/services
  • Rush projects: May incur additional fees (typically 20-50% premium)

Payment Schedule

  • Initial deposit: 30-50% of project value due before work commencement
  • Milestone payments: Due within 7 days of milestone completion
  • Final payment: Due before final delivery and handover
  • All invoices are payable within 14 days of receipt
  • Late payments may incur interest charges of 1.5% per month

Refund Policy

  • Deposits are non-refundable once work has commenced
  • Refunds for completed work are provided on a pro-rata basis only
  • No refunds for work accepted and approved by the client
  • Subscription-based services: No refunds for partial months

5. Intellectual Property Rights

Intellectual property ownership is structured as follows:

Client Ownership

  • Upon full payment, client owns all custom code, designs, and deliverables created specifically for the project
  • Client receives full rights to use, modify, and distribute the delivered work
  • Ownership transfer is conditional upon complete payment of all invoices

silquetech Ownership

  • silquetech retains ownership of pre-existing tools, frameworks, and methodologies
  • Open-source components and third-party libraries remain under their respective licenses
  • silquetech retains the right to use generic code, techniques, and know-how for other projects
  • Portfolio rights: silquetech may showcase completed work in portfolio/marketing materials unless explicitly restricted in writing

Third-Party Assets

  • Stock images, fonts, and plugins remain subject to their original licenses
  • Client is responsible for obtaining necessary licenses for requested third-party components
  • silquetech will clearly identify all third-party components used

6. Confidentiality & Data Protection

We take data privacy and confidentiality seriously:

Confidential Information

  • Both parties agree to maintain confidentiality of proprietary information shared during engagement
  • Confidential information includes business strategies, technical data, customer lists, and unpublished products
  • NDA (Non-Disclosure Agreement) can be signed upon request before project commencement
  • Confidentiality obligations survive termination of services

Data Protection

  • We comply with GDPR, CCPA, and other applicable data protection regulations
  • Client data is processed only for the purpose of delivering services
  • We implement industry-standard security measures to protect data
  • Data breaches will be reported within 72 hours of discovery
  • Clients have the right to request data deletion upon project completion

7. Warranties & Guarantees

silquetech provides the following warranties and guarantees:

Service Quality

  • Services will be performed by qualified senior-level professionals
  • Work will be completed with reasonable skill and care
  • Deliverables will match specifications outlined in the SOW
  • Code will follow industry best practices and standards

Bug-Fix Guarantee

  • 30-day bug-fix guarantee on all delivered software (post-launch)
  • Bugs must be reproducible and documented
  • Guarantee covers defects in delivered code, not feature changes or enhancements
  • Does not cover issues caused by third-party integrations or client modifications

Disclaimer of Warranties

  • Services are provided 'as is' except as explicitly stated in SOW
  • We do not guarantee specific business outcomes or ROI
  • We do not warrant uninterrupted or error-free operation of third-party platforms
  • Performance metrics are estimates and not guaranteed

8. Limitation of Liability

To the maximum extent permitted by law:

Liability Caps

  • silquetech's total liability shall not exceed the total fees paid by client for the specific project
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • Not liable for lost profits, data loss, or business interruption
  • Liability limitations apply regardless of the theory of liability (contract, tort, etc.)

Exceptions

  • Limitations do not apply to gross negligence or willful misconduct
  • Limitations do not apply to violations of intellectual property rights
  • Indemnification obligations are not subject to liability caps

9. Project Timeline & Delays

Timelines and scheduling are managed as follows:

Timeline Estimates

  • All timelines are good-faith estimates and not guarantees
  • Timelines assume timely client feedback and resource availability
  • Scope changes will result in timeline adjustments
  • Force majeure events may impact delivery schedules

Delays & Extensions

  • Client-caused delays (late feedback, asset provision) extend timelines accordingly
  • silquetech will notify client promptly of any anticipated delays
  • Significant delays (>30 days) may result in project re-scoping or price adjustments
  • Timeline extensions do not affect payment obligations for completed milestones

10. Termination

Either party may terminate services under the following conditions:

Termination by Client

  • Client may terminate at any time with 14 days written notice
  • Client is responsible for payment of all work completed up to termination date
  • Client is responsible for payment of any third-party costs incurred
  • Partial deliverables will be provided for work completed
  • Deposits and advance payments are non-refundable

Termination by silquetech

  • May terminate with 14 days notice if client breaches Terms
  • May terminate immediately for non-payment (>30 days overdue)
  • May terminate if client behavior is abusive or unprofessional
  • May terminate if project scope fundamentally changes
  • Will refund for any work not yet commenced

11. Support & Maintenance

Post-delivery support is structured as follows:

Included Support

  • 30-day bug-fix period for critical issues (as per Section 7)
  • Basic documentation and handover training
  • One-time deployment assistance

Ongoing Support (Optional)

  • Monthly retainer packages available for ongoing support
  • Priority support with guaranteed response times
  • Regular updates, security patches, and minor enhancements
  • Performance monitoring and optimization
  • Separate pricing applies - not included in project fees

12. Third-Party Services

Our services may integrate with or rely on third-party platforms:

Third-Party Dependencies

  • Client is responsible for maintaining active accounts with required third-party services
  • Client is responsible for third-party service fees and subscriptions
  • We are not liable for third-party service outages, changes, or discontinuation
  • Changes to third-party APIs may require additional development work (billable)

Third-Party Licenses

  • Client is responsible for obtaining and maintaining necessary licenses
  • Premium plugins, themes, or software are billed separately
  • silquetech does not provide licenses on behalf of clients

13. Acceptable Use

Clients agree to use our services responsibly and legally:

Prohibited Uses

  • No illegal, harmful, or fraudulent activities
  • No adult content, gambling, or prohibited industries (at our discretion)
  • No spam, malware, or malicious code distribution
  • No violation of intellectual property or privacy rights
  • No impersonation or misrepresentation

Consequences

  • We reserve the right to refuse or terminate service for violations
  • No refunds will be provided for termination due to prohibited use
  • We may report illegal activities to authorities

14. Dispute Resolution

In the event of disputes, we follow this process:

Resolution Process

  • Good faith negotiation: Initial 30-day period to resolve amicably
  • Mediation: If negotiation fails, binding mediation by mutually agreed mediator
  • Arbitration: Final binding arbitration if mediation unsuccessful
  • Legal costs: Each party bears own legal costs unless otherwise ordered

Governing Law

  • These Terms are governed by the laws of [Your Jurisdiction]
  • Exclusive jurisdiction in [Your Courts]
  • Client waives right to jury trial

15. Indemnification

Client agrees to indemnify and hold harmless silquetech from:

  • Claims arising from client-provided content, data, or materials

  • Violations of third-party rights by client
  • Client's breach of these Terms
  • Misuse of services or deliverables

16. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including:

Covered Events

  • Natural disasters (earthquakes, floods, fires)
  • Pandemics or public health emergencies
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Internet or telecommunications failures
  • Third-party platform outages or discontinuation

17. Modifications to Terms

silquetech reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of services after changes constitutes acceptance. Material changes will be communicated via email to active clients with at least 30 days notice.

18. General Provisions

Severability

  • If any provision is found unenforceable, remaining provisions remain in effect

Entire Agreement

  • These Terms, along with the SOW, constitute the entire agreement
  • Supersedes all prior agreements and understandings

Waiver

  • Failure to enforce any provision does not constitute a waiver
  • Waivers must be in writing to be effective

Assignment

  • Client may not assign rights without written consent
  • silquetech may assign to affiliates or successors

Notices

  • All notices must be in writing and sent via email or registered mail
  • Notices are deemed received when email is sent or 3 days after mailing
